FLORVINO FLOWER SOMM AGREEMENT

United States Introduction

Congratulations! You’ve taken the first step in your journey as an Independent Florvino Flower Somm, and we are so excited for you. Welcome to the family!

The Agreement

Becoming a Flower Somm means you are entering into a legally binding business relationship with Florvino LLC. The Independent Flower Somm Agreement (in short, “Agreement”) is between an Independent Florvino Flower Somm (“you”) and Florvino LLC (“Florvino”).

Since this is a legal contract, we have to include some legalese (mostly in Chapter 3: Legal Terms and Conditions). To help you follow along, here is a brief rundown of what’s included in the Agreement and an explanation of a few terms:

This Agreement contains Florvino’s Standards, which define the fundamental requirements and procedures, expected behaviors and acceptable activities as you share Florvino’s products and opportunities with others. Compliance with these Standards will help you operate your Florvino business in a healthy and ethical manner. The Agreement also includes the Compensation Plan, which defines the Commission and Bonus structure — basically, how you get paid. When you enroll as an Independent Florvino Flower Somm, you are agreeing to comply with the Agreement.

You may come across a few terms in this Agreement that are new to you. If the term is capitalized, check out its definition in Chapter 5: Definitions.

Your rights

As a Current Independent Florvino Flower Somm in good standing, you have the right to:

Sell Florvino products at private home Wine Parties and via private personal contacts and social media connections;
Participate in the Florvino Compensation Plan;
Recruit and sponsor other Flower Somms (i.e., build your Downline);
Receive official Florvino communications;
Access Florvino-sponsored support, training and recognition;
Participate in Florvino-sponsored promotional and incentive contests and programs whenever they would be created in the future;
Access an online Flower Somm Dashboard that allows you to see how your business is progressing; and
Get your own personalized Florvino landing

The spirit and intent of the Agreement

Where specific Standards are not already established, Florvino refers to the spirit and intent of this Agreement, which are to:

Protect your right and ability to operate as an Independent Florvino Flower Somm;
Protect Florvino’s assets and interests;
Protect the opportunity for all current and prospective Flower Somms;
Promote healthy business activities and relationships; and
Contribute to the mission, vision and values of

Chapter 1: Account Operations

Section 1: Establishing a Flower Somm Account Eligibility requirements

A. To enroll, you must:

- Be 21 or older;
- Be a legal resident of the United States in any of the following states: AL, AZ, AR, CA, CO, FL, GA, ID, IL, IN, IA, KS, LA, ME, MA, MN, MS, MO, MT, NE, NV, NM, NY, NC, ND, OH, OK, OR, PA, RI, SC, TN, TX, VA, WA, WI, WY;
- Have a legal right to work in the United States;
- Submit a valid tax identification number, such as your Social Security number (SSN) or your Individual Taxpayer Identification Number (ITIN);
- Provide the individual name as it appears on your Social Security card or Individual Taxpayer Identification Number card; and
- Purchase a Starter Sample Wine
- Submit a completed and signed IRS Form W-9;
- Submit a clear copy of a current, government-issued photo identification (driver’s license or state-issued ID);
- Submit a completed direct-deposit authorization form for payment of Commissions;

TABC Certification Requirement

To be eligible to sample or serve Florvino Flower wines at any tasting, every Texas Independent Flower Somm must obtain and maintain current TABC Certification. Every Independent Flower Somm in any other state must obtain and maintain the equivalent responsible-server / alcohol- service certification required by their state. A copy of the current, valid certification must be uploaded through the website Sign-Up Page and received by Florvino before this Agreement is finalized and before any tastings may be conducted. Failure to provide valid certification will prevent activation of the Account and any sampling privileges.

B. You and those with a Beneficial Interest in your Account (including your Immediate Household) may not:

- Already have a Beneficial Interest in a Florvino Flower Somm Account — unless a second Account is inherited or acquired after the marriage of two Flower Somms whose Accounts were established prior to marriage;
- Be a Principal Member of another direct selling company;
- Be a current employee of Florvino; and/or
- Have been an employee of Florvino within the last three (3) years, unless you have received prior written permission.

C. Florvino, at its sole and absolute discretion, reserves the right to reject any new enrollment for any reason.

Account types

Individual Accounts: These accounts may be owned and operated only by a single individual or legally married couple under one valid tax identification number.
Business Entity Accounts: These accounts may be owned and operated by a single individual or a group of two or more people by forming a legal business entity. An Employer Identification Number

(EIN) and Articles of Incorporation or another officially filed document is required. Commission payments are allocated to the business entity.

Section 2: Account Maintenance

You are responsible for maintaining your Account with current and accurate information. Florvino is not liable for delays or damages due to incorrect information in your Account. If you have questions or need to make account changes, email flowersomms@florvino.wine.

Account changes

Granting non-owner access: If you would like to grant access to your account to other individuals that have no ownership stake in your account or any other Florvino account, contact Account Services.
Address, email and telephone: You can update this information on your own through your Flower Somm Login.
Legal name: To change your name, email compliance@florvino.wine. Make sure your name matches your Tax ID.
Country of residence: email compliance@florvino.wine.
Formation or breakup of Business Entity: email compliance@florvino.wine.
Sponsorship: The Flower Somm under whom you enrolled is your Sponsor. Florvino does not allow Sponsor changes except under qualifying circumstances or during
Sale or transfer: If you are retiring from direct selling, submit a Downline Transfer Application & Request to compliance@florvino.wine. These requests are granted at Florvino’s sole and absolute discretion.
Passing of Flower Somm: Your account will be suspended until we receive benefactor information. If we do not receive benefactor information, we will cancel your account three months after the date of suspension.
Pass to heir or beneficiary: If you want to assign an heir or beneficiary to inherit your Florvino business, you must email compliance@florvino.wine and be prepared to provide a court order, copy of the notarized will or other instrument establishing the beneficiary’s right to the Florvino Account. The beneficiary must also complete an Agreement and meet all the Agreement requirements listed in Chapter 1, Section 1.

Assignment of rights

You may not assign any rights under the Agreement without first obtaining written authorization, which is granted or denied at Florvino’s sole and absolute discretion. If authorization is granted, the transferee of the Account will assume your position and all obligations, including any outstanding debts.

Chapter 2: Operations Operations Manual

The Independent Flower Somm agrees to operate according to the contents of the Florvino Operations Manual. By signing this Agreement, the Flower Somm acknowledges having read the Operations Manual and agrees that Florvino may, from time to time and at its sole discretion, make changes to the Operations Manual. The current version of the Operations Manual is incorporated by reference into this Agreement.

Alcohol Compliance

Florvino LLC mandates that all Independent Flower Somms strictly adhere to the laws of the State in which they operate, especially as they pertain to the serving, sampling, furnishing, and consumption of alcohol. Any violation of these alcohol-related laws is at the sole responsibility and behest of the Independent Flower Somm and the Independent Flower Somm only. Florvino LLC assumes no liability for any such violation. Any violation of applicable alcohol laws will result in the immediate cancellation of this Agreement.

Restriction to Home Parties – NO EVENTS, MARKETS, OR PROMOTIONS/SALES AT ANY PUBLIC VENUES

Independent Flower Somms are only permitted to promote and sample Florvino products in the private home or via private interactions. State laws require wineries or liquor sales representatives to have different licenses and permits to attend public events, markets, promotions and tastings.

Independent Flower Somms are explicitly forbidden to attend any of these events on behalf of Florvino. Any violation of this would not only result in immediate termination of this agreement, but also make the Independent Flower Somm personally liable for the violations of the liquor and other state laws.

Chapter 3: Legal Terms and Conditions Intellectual Property and Trademarks

Flower Somm may use Company trademarks, logos, and marketing materials only as authorized in the Company’s Brand Guidelines. All materials remain Company property. Flower Somm shall not create or use any materials that could confuse customers or imply an official endorsement beyond the authorized scope.

Confidentiality

Flower Somm agrees to keep all non-public information confidential during and after the term of this Agreement.

Non-Solicitation

During the term and for 12 months after termination, Flower Somm shall not solicit any Florvino customer or Flower Somm for a competing business.

Dispute Resolution

Any dispute arising out of or relating to this Agreement shall first be resolved through good-faith negotiation. If negotiation fails, the parties agree to non-binding mediation in San Antonio, Texas. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association in Bexar County, Texas, or by litigation in the courts of Bexar County, Texas, at Florvino’s sole election.

Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Venue for any action shall be exclusively in Bexar County, Texas.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the Agreement shall be interpreted as if the invalid provision had never been included.

Indemnity

You agree to indemnify, defend, and hold harmless Florvino LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your actions, omissions, marketing activities, tastings, or violation of this Agreement or any applicable law.

Termination

Either party may terminate this Agreement at any time with or without cause. Upon termination, Flower Somm must immediately cease using Company trademarks and return or destroy all marketing materials.

Entire Agreement

This Agreement, together with the Policies and Procedures, constitutes the entire understanding between the parties and supersedes all prior agreements.

No Earnings Guarantees

Flower Somm acknowledges that Florvino has made no representations or guarantees regarding income, earnings, lifestyle, or business success. All compensation is one hundred percent (100%) performance-based and depends on the Flower Somm’s individual effort, skill, time commitment, market conditions, and other factors outside Florvino’s control. Income examples shown in any Florvino materials are illustrative only and are not typical results. Florvino’s Income Disclosure Statement is available upon request.

Term and Renewal

This Agreement has an initial term of one (1) year from the date of acceptance by Florvino and renews automatically each year thereafter unless either party provides thirty (30) days’ written notice of non-renewal. Renewal is contingent on a current, valid TABC Certification (or the state-equivalent responsible-server certification) on file with Florvino.

Cancellation for Inactivity

Florvino may cancel a Flower Somm Account that has had no commissionable sales and no hosted Wine Party for six (6) consecutive months. Florvino will provide written notice and a thirty (30) day cure period before cancellation. Cancellation under this section does not affect the Flower Somm’s right to reapply, subject to the standard enrollment requirements then in effect.

Reinstatement

A Flower Somm whose Account has been cancelled or terminated may request Reinstatement by submitting a written request to compliance@florvino.wine within six (6) months of the cancellation or termination date. Reinstatement is granted at Florvino’s sole and absolute discretion and may require payment of a reinstatement fee, completion of updated training, and a current, valid TABC

Certification (or state equivalent). If Reinstatement is granted within thirty (30) days of cancellation, the Flower Somm’s prior Downline and Sponsor relationships may be restored at Florvino’s discretion. After thirty (30) days, the Flower Somm will be enrolled as a new Flower Somm with no rights to any prior Downline.

Right to Amend

Florvino reserves the right to modify this Agreement, the Compensation Plan, the Operations Manual, and any related policy from time to time at its sole discretion. Amendments are effective upon posting to the Flower Somm Dashboard or upon notification by email to the address on file, whichever occurs first. Continued sale of Florvino products, recruitment of new Flower Somms, or acceptance of any Commissions after the effective date of an amendment constitutes acceptance of the amendment. A Flower Somm who does not agree to an amendment may terminate this Agreement under the Termination section.

Independent Contractor Tax Status

Flower Somm is an independent contractor and not an employee, agent, partner, or joint venturer of Florvino. Florvino will not withhold federal or state income tax, Social Security, Medicare, or any other taxes from Commissions. Florvino will issue an IRS Form 1099-NEC to any Flower Somm earning $600 or more in a calendar year, in accordance with applicable law. Flower Somm is solely responsible for paying all applicable federal, state, and local taxes on Commissions earned and for reporting income to taxing authorities. Flower Somm shall provide a completed and signed IRS Form W-9 (or W-8 series if applicable) to Florvino prior to receiving any Commission payment.

No Employee Benefits

Flower Somm acknowledges that, as an independent contractor, they are not entitled to workers’ compensation, unemployment insurance, health insurance, retirement benefits, paid time off, or any other employee benefits from Florvino. Nothing in this Agreement shall be construed to create an employer-employee relationship.

Background Verification

Florvino reserves the right, at its sole discretion, to conduct or require background checks (including criminal-history and motor-vehicle-record checks) on any applicant for a Flower Somm Account or on any current Flower Somm. Where required by law, Florvino will obtain the Flower Somm’s written consent before conducting such a check. Refusal to consent to a lawfully required background check, or a result that in Florvino’s reasonable judgment is incompatible with the responsible serving of alcohol in private homes, is grounds for denial of enrollment or termination of this Agreement.

Insurance

Florvino maintains general-liability insurance covering its own operations and corporate events. Flower Somm acknowledges that this policy may not extend to the Flower Somm’s individual activities at Wine Parties or in other private settings. Flower Somm is strongly encouraged to obtain a personal liability insurance policy that covers in-home alcohol sampling and host-liquor liability.

Flower Somm acknowledges that homeowner’s or renter’s insurance generally does not cover commercial activities and that the Flower Somm is solely responsible for any claims, damages, or liabilities arising out of the Flower Somm’s acts or omissions in connection with this Agreement. Social Media and Online Conduct

Flower Somm may promote Florvino products and the Flower Somm opportunity on personal social media accounts only in a manner consistent with this Agreement, the Operations Manual, and Florvino’s Brand Guidelines. Flower Somm shall not: (a) create or maintain any account that could be mistaken for an official Florvino corporate account; (b) purchase paid search advertisements or social-media advertising using Florvino trademarks or brand names without prior written authorization; (c) list, sell, or offer Florvino products on Amazon, eBay, Walmart Marketplace, Facebook Marketplace, Craigslist, or any other third-party e-commerce platform or auction site; (d) make any claims about income, health benefits, or product efficacy that have not been expressly approved in writing by Florvino; or (e) post content that is defamatory, harassing, discriminatory, sexually explicit, or otherwise inconsistent with the reputation of Florvino. Florvino may require the removal of any content that violates this section, and failure to remove content within a reasonable period after notice is grounds for termination.

No Cross-Sponsoring

A Flower Somm may not sponsor, attempt to sponsor, or assist any person to enroll under a different Sponsor if that person is already an active Flower Somm or has been a Flower Somm within the prior six (6) months. Sponsorship lines, once established, are permanent except through Florvino’s formal Reinstatement or transfer procedures. Any violation may result in reassignment of the recruit, forfeiture of related Commissions, and termination of the violating Flower Somm’s Account.

Retail Sales Requirement

Flower Somm acknowledges that Florvino’s Compensation Plan is based on the sale of Florvino products to end consumers and not on recruiting alone. No payment, bonus, or override is paid for the mere act of recruiting another Flower Somm. To qualify for any team-leadership override or trailing income, the sponsoring Flower Somm must maintain personal retail sales to bona-fide end consumers as defined in the Compensation Plan. Florvino reserves the right to audit sales records to ensure compliance with this section.

Data Privacy and Customer Information

Flower Somm shall handle all customer personal information, including names, addresses, email addresses, telephone numbers, and order history, strictly in accordance with applicable privacy laws, including the Texas Data Privacy and Security Act and any other state or federal privacy laws that may apply. Customer information accessed through the Flower Somm Dashboard or Personal Website is the confidential property of Florvino. Flower Somm shall not: (a) sell, rent, or otherwise commercialize customer personal information; (b) use customer personal information for any purpose other than fulfilling Flower Somm obligations under this Agreement; or (c) retain customer

personal information after termination of this Agreement. Flower Somm shall promptly notify Florvino at compliance@florvino.wine of any actual or suspected unauthorized disclosure of customer personal information.

Force Majeure

Neither party shall be liable for any failure or delay in performance under this Agreement (other than payment of amounts owed) caused by events beyond that party’s reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, governmental orders, war, terrorism, civil unrest, labor disputes, supply-chain disruptions, utility or telecommunications failures, or cyberattacks. The affected party shall use reasonable efforts to resume performance as soon as practicable.

Notices

Any formal notice required or permitted under this Agreement shall be in writing and delivered to: (a) Florvino at compliance@florvino.wine, or by U.S. mail to Florvino LLC, 142 Lindner Branch Trail Ste 2, Comfort, TX 78013; and (b) Flower Somm at the email address and physical address on file in the Flower Somm Account. Notice is deemed given on the date sent by email or three (3) business days after deposit in the U.S. mail. Flower Somm is responsible for keeping contact information current.

Survival

The following sections shall survive termination or expiration of this Agreement for any reason: Intellectual Property and Trademarks; Confidentiality; Non-Solicitation; Data Privacy and Customer Information; Indemnity; Independent Contractor Tax Status; No Earnings Guarantees; Dispute Resolution; Governing Law; Severability; Notices; and Survival. The obligations under these sections shall continue for so long as is necessary to give effect to their purpose.

Waiver

The failure of Florvino to enforce any provision of this Agreement on any occasion shall not constitute a waiver of the right to enforce that provision, or any other provision, on any subsequent occasion. A waiver is effective only if delivered in writing and signed by an authorized representative of Florvino, and applies only to the specific instance and matter described in the waiver.

Chapter 4: Compensation Plan Personal Sales Commission

Flower Somm earns 20% on every dollar of customer-paid net sales from home tasting parties, website orders placed through Flower Somm’s personal link, and initial wine-club shipments.

Tips: Guests may optionally give cash or digital tips directly to Flower Somm via cash jar, Venmo, or other apps. Tips are not processed by Florvino and are Flower Somm’s personal income.

Personal Volume Bonuses (paid monthly)

$2,000+ personal volume in a month → +5% (total 25%)
$4,000+ personal volume in a month → +10% (total 30%)

Team Leadership Overrides

Manager rank (3 active recruits + qualifying personal volume): 4% override on Level-1 team’s sales volume.
Director rank (and above): Personally sponsor and maintain 8 active Flower Somms (or have at least 2 active Managers in downline) + Maintain $4,000+ personal monthly volume AND $15,000+ total team volume → 6% override on full downline (Levels 1–2).

Wine Club Rewards

$5 cash bonus for every new 3-pack club member signed by Flower Somm (whether at a Wine Party, through the personal link, or through other authorized channels).
$10 cash bonus for every new 6-pack club member signed by Flower Somm (whether at a Wine Party, through the personal link, or through other authorized channels).
$20 cash bonus for every new 12-pack club member signed by Flower Somm (whether at a Wine Party, through the personal link, or through other authorized channels).

Club recurring volume is separate from personal volume bonuses.

Trailing Income on Reorders

Flower Somm earns 10% trail commission on both wine-club subscriptions and non-club reorders only when the reorder is placed through Flower Somm’s personal webpage/link and Flower Somm maintains a minimum of 2 parties per month or $2,000 in sales (or reestablishes this level of sales within 3 months).

Tasting Sample Program

Starter Pack: $147 for 6 tasting bottles (covers 2 full parties with 12 guests each).
Refill Pack: $199 for 12 tasting bottles (covers 4 parties) after
Qualification: After $1,000 in personal
Coupons: For every $200 of personal sales, Flower Somm earns a $15 coupon toward future sample purchases.
Shipping: $35 per refill pack unless picked up free in Dallas, Houston, Austin, or San
Promotion Bonus: Manager = 10 × $15 coupons; Director = 20 × $15

Host Reward

Flower Somm receives a $20 discount coupon per $500 in party sales to give to the host.

Payouts

Commissions are paid weekly on Magic Money Monday via direct deposit or approved payment method once orders are marked complete.

Personal Discount

Flower Somm receives 30% discount on personal purchases.

Chapter 5: Definitions

Account – The official record established with Florvino upon execution of this Agreement that allows you to sell products, earn Commissions, and build a Downline.

Active Flower Somm – A Flower Somm who has submitted at least one order or hosted at least one tasting party in the preceding 30 days and remains in good standing.

Beneficial Interest – Any ownership, financial, or controlling interest in an Account, whether direct or indirect.

Commission – Any payment, bonus, override, trail commission, or other compensation earned under the Compensation Plan.

Flower Somm or Independent Florvino Flower Somm – The individual or entity who has signed this Agreement and is authorized to sell Florvino products on an independent-contractor basis.

Flower Somm Dashboard – The secure online portal provided by Florvino for managing your Account, viewing reports, and accessing business tools.

Downline – All Flower Somms you have personally sponsored or who have been sponsored by someone in your sponsorship line below you.

Florvino or Company – Florvino LLC, its officers, directors, employees, and authorized agents. Immediate Household – Persons living in the same residence as the Flower Somm.

Manager and Director – Ranks defined in the Compensation Plan that qualify you for Team Leadership Overrides.

Party or Tasting – A private-home event where Florvino products are sampled and sold.

Personal Retail Volume (PRV) – The total retail sales value of products sold through your Account in a given period, used to calculate volume bonuses and rank qualifications.

Personal Website (PWS) – The personalized web page provided by Florvino that tracks sales and referrals attributed to you.

Sponsor – The Flower Somm who directly enrolled you into the Florvino business.

Starter Sample Wine Pack – The initial $147 kit containing 6 tasting bottles required for enrollment. TABC Certification – The Texas Alcoholic Beverage Commission Seller Training Certification (or the equivalent responsible-server certification required in any other state).

Wine Club – Florvino’s recurring subscription program for 3-pack (bi-monthly), 6-pack, or 12-pack shipments.

Acceptance

FLORVINO OPERATIONS MANUAL

Incorporated by reference into the Florvino Independent Flower Somm Agreement

This Operations Manual contains the detailed policies and procedures for day-to-day operations. It is a living document that Florvino may update from time to time at its sole discretion. Flower Somms agree to operate in accordance with the most current version.

Chapter 1: Orders

Pricing, Personal Retail Volume (PRV) and sales tax

Shipping costs, product prices and Personal Retail Volume (PRV) are subject to change at any time and without advance notice to you. Florvino reserves the right to reject or cancel orders for any reason.

All orders that you submit will include applicable sales tax. Florvino will collect and remit sales taxes on your behalf, according to applicable tax rates in the state, county and/or municipality where the order is to be shipped.

Insufficient funds and credit card disputes

It is your responsibility to ensure there are sufficient funds to cover orders you submit. If sufficient funds are not available, your order will not be fulfilled and no PRV will be awarded. If credit card charges are disputed on an order placed through your Personal Website (PWS), Corporate Website (CWS) or Flower Somm Dashboard, Florvino may recoup those charges by withholding or deducting Commissions. In the event that Commissions are not available, you are responsible to reimburse Florvino.

Warranties, guarantees and returns

Damaged items and shipping errors: Report shipping errors and items damaged during shipment to Florvino within 3 business days of confirmed delivery of shipment.
Return of inventory: If a customer does not pick-up or sign for the order, it will be returned to the warehouse. There is a $50 return shipping fee which either you will need to collect from the customer or it will be deducted from your commission and also affect your In addition the sale will be credited to the customer and deducted from your PRV.

Obligations to Customer

Order placement: Place all orders at the end of the party through your personal landing
Customer credit card information: Do not write down or retain customer’s credit card information. Only enter them directly in the systems provided to you to accept Do not copy, distribute or allow another person access to a Customer’s credit card information.
Delivery: Orders will be shipped the next business day and typically arrive within 3 days at the address It must be stressed that an adult must be home to sign for receipt of the flower wines. If no adult is home at all times, a delivery pick-up location should be selected where the customer can pick-up the package.
Customer service: Set reasonable expectations regarding the products, pricing and delivery for your Customers. Deal fairly and honestly. Loyalty from your Customers is earned by you and not guaranteed by Florvino.
Obligations to Host: Set reasonable and accurate expectations related to your Host’s role, benchmarks and rewards for the Host’s party and follow through on any promises you make or arrangements you agreed to with a party Host.
From time to time it may happen that an item is temporarily out of stock. In such case we will inform you and you will not be able to order the We strongly suggest that for as long as the item is out of stock you do not let customers taste the specific flower wine.

Chapter 2: Sponsoring Recruiting and sponsoring

You may recruit and sponsor new Flower Somms in any state where Florvino can ship to.

Responsibility to Frontline

Set reasonable expectations with your Frontline regarding the opportunity, products and requirements for establishing and maintaining an Account. Take a proactive role in providing assistance and training, and make yourself available as the first point of contact for your Frontline. Encourage and empower your Frontline to do the same for their Frontline.

Non-sponsoring Flower Somms

If you’d rather not take on the responsibility of assisting and training Downline Flower Somms, you may simply elect to refer interested people to the Florvino website where they can sign up to be a Flower Somm.

Chapter 3: Marketing and Conduct Section 1: Marketing

You may market Florvino products and the opportunity only in ways that are truthful, accurate, and compliant with all applicable laws (including TABC regulations on alcohol promotion). You must not make any claims about income, health benefits, or product efficacy that are not expressly approved by Florvino in writing. All marketing must reflect positively on Florvino and the direct-selling industry.

Section 2: Marketing Materials

You may use only official Florvino marketing materials, logos, trademarks, and brand guidelines. All marketing materials remain the property of Florvino. You may not create, alter, or distribute any unauthorized materials (including flyers, videos, social-media graphics, or websites). Any violation may result in immediate termination.

Section 3: In-Person Activities

All tastings and sales events must be conducted exclusively in private homes. You may not host or participate in any public, commercial, or semi-public tastings without prior written approval from Florvino.

Section 4: No Permission to Enter Shows, Events or Markets

You have no permission to enter, set up a booth at, or participate in any trade shows, festivals, fairs, farmers’ markets, wine events, or other public venues without express prior written permission from Florvino. Violation of this rule is grounds for immediate termination of your Agreement. Violation of this also would violate the alcohol laws of your state and would make you personally liable to any charges for such violations.

Section 5: Code of Conduct

You agree to conduct yourself professionally and ethically at all times. You will treat Customers, Hosts, and other Flower Somms with respect and dignity. You will not engage in harassment, discrimination, or any behavior that brings disrepute to Florvino. You must comply with all federal, state, and local laws, including responsible alcohol sampling rules.

Section 6: Conflict of Interest

You may not engage in any other direct-selling or competing wine/alcohol business while this Agreement is active. You may not solicit Florvino Customers or Flower Somms for any other company. Any actual or potential conflict of interest must be disclosed immediately to Florvino. Section 7: Alcohol Compliance

Florvino LLC mandates that all Independent Flower Somms strictly adhere to the laws of the State of Texas (or the laws of any other state in which the Flower Somm operates) as they pertain to the serving, sampling, furnishing, and consumption of alcohol. Any violation of these alcohol-related laws is at the sole responsibility and behest of the Independent Flower Somm and the Independent Flower Somm only. Florvino LLC assumes no liability for any such violation. Any violation of applicable alcohol laws will result in the immediate cancellation of this Agreement.
